DUNFERMLINE ATHLETIC FC FORMER PLAYERS ASSOCIATION
RULES
1 Name
The association is called the Dunfermline Athletic FC Former Players Association ("the Association").
2 Objects
The objects of the Association are:
2.1.1 to promote the social activities of members
2.1.2 to provide financial and other support to former players and families of former players
2.1.3 to make donations to Dunfermline Athletic FC and to support charitable causes and
2.1.4 to provide social support networks and contacts usually associated with a club.
In pursuance of the above objects the Association may produce a magazine, buy and sell players' memorabilia and engage in such other commercial activities as the Committee may consider desirable.
3 Qualification for membership
The following are qualified for membership of the Association:-
3.1 any person who has played for the Dunfermline Athletic FC first team in any major competition
3.2 any person who has entered into a full professional playing contract with Dunfermline Athletic FC and
3.3 any other former Dunfermline Athletic FC player at the absolute discretion of the Committee
4 Admission of ordinary members
4.1 Members shall be admitted by election by the Committee.
4.2 A candidate for election who receives the votes of the majority of the Committee must be declared elected.
5 Associate members
5.1 The Committee may invite suitable persons to be associate members.
5.2 The Committee may from time to time invite suitable persons to be the patron or the president of the Association for life or for such term as the Committee see fit.
5.3 The Committee may invite one or more members (other than associate members) of the Association to be vice president(s) of the Association for life or for such term as the Committee see fit.
5.4 Members may send to the secretary names of people suggested for invitation under rules 5.1., 5.2 and 5.3.
5.5 Associate members do not pay any subscription.
5 6 Associate members are entitled to all the benefit and privileges of membership except that are not entitled to claim any share of the Association on its dissolution.
5.7 For the avoidance of doubt the positions of patron, president and vice president do not of themselves confer on the holder the benefits and privileges of membership (although any such holder who is also a member or associate member is entitled to any benefit and privileges conferred upon him in that capacity).
6 Procedure after election
6.1 When a candidate is elected he must be furnished with a copy of these rules and be requested to remit to the treasurer of the Association his first subscription.
6.2 On payment of his first subscription an elected candidate becomes a member of the Association and is entitled to all the benefits and privileges of membership, and agrees to be bound by these rules.
7 Subscription
The annual subscription is the sum decided upon from time to time at the annual general meeting of the Association.
8 Subscription date
All annual subscriptions are payable on 1st August in each year without demand.
9 Subscriptions in arrears
9.1 If any member fails to pay his annual subscription within 14 days after it becomes due, notice must be sent to him calling his attention to his failure to pay.
9.2 If the member does not pay the amount within 14 days from the posting of that notice the Committee may terminate his membership.
9.3 If at any time the member gives the Committee a satisfactory explanation, he may, in the discretion of the Committee and on payment of arrears, be readmitted to membership.
10 Resignation of members
10.1 Any member may resign his membership by giving notice in writing to that effect to the secretary.
10.2 Every such notice must, unless otherwise expressed, be deemed to take effect as from its receipt provided that any member giving such notice after 31st July in any year must pay his subscription for the following year
11 Expulsion of members
11.1 If at any time the Committee considers that the interests of the Association require it they must invite a member to withdraw from the Association, by a letter specifying the time before which the withdrawal should be made.
11.2 If the member concerned does not withdraw the Committee must submit the question of his expulsion to a special general meeting to be held within six weeks after the date of the letter.
11.3 Not less than four weeks' notice of the meeting must be given to the members.
11.4 The secretary must inform the member in question of the time and place of the meeting and the nature of the complaints against him in sufficient time to afford him a proper opportunity of offering his explanation.
11.5 At the meeting the member must be allowed to offer an explanation of his conduct verbally or in writing and if after that two-thirds of the members present vote for his expulsion he will immediately cease to be a member of the association.
11.6 The voting at any such special general meeting must be by ballot. if not less than five members present at that meeting so demand.
11.7 The Committee may exclude from the Association until the special general meeting is held any member whose withdrawal has been requested.
12 Effect of ceasing to be a member
On ceasing to be a member of the Association a person forfeits all right to and claim upon the Association and its property and funds.
13 Committee
13.1 The management of the Association (except as otherwise provided by these rules) is deputed to a Committee of not more than 10 members who must be elected at the annual general meeting.
13.2 The chairman, treasurer and secretary shall be selected by the Committee from its members.
14 Election of members of Committee
14.1 At each annual general meeting all members of the Committee must retire, but are eligible for re-election.
14.2 The Committee must nominate a sufficient number of members of the Association to form a new Committee, and a list of the names of those who are proposed to serve on the new Committee must be circulated by the secretary to the members 14 days before the annual general meeting.
14.3 Any two members may propose any other candidate or candidates, by notice in writing to the secretary, 21 days at least before the annual general meeting, and the secretary must circulate details of such proposals to the members in accordance with rule 14.2.
14.4 Balloting lists must be issued containing in alphabetical order all the names so obtained, distinguishing the candidates proposed by the Committee, and showing the names of the proposers of other candidates.
14.5 Every member of the Association is entitled, but not obliged, to vote for as many candidates as there are vacancies to be filled and no more.
14.6 Up to the number of vacancies, the candidates who receive most votes must be declared elected, and in the case of two or more candidates receiving an equal number of votes, the chairman of the meeting has a second or casting vote.
15 Vacancies on Committee
15.1 The Committee may appoint a member to fill any casual vacancy on the Committee until the next annual general meeting.
15.2 Any member so appointed must retire at the next annual general meeting but may be elected as a member of the Committee at that meeting.
16 Meetings of Committee and officers
16.1 The Committee must meet at least once every 3 months to examine the accounts and arrange the affairs of the Association.
16.2 Four members of the Committee forms a quorum.
16.3 Minutes of all the proceedings of the Committee must be taken and must be open to inspection by any member of the Association on application to the secretary.
16.4 At the first meeting of the Committee following each annual general meeting the Committee must elect from its members a chairman treasurer and secretary to remain in office until the Committee meeting following the next annual general meeting. The chairman may serve two terms of office, subject to re-election, but not be re-elected to the same office until at least 3 years have expired since the end of his second term in that office.
17 Sub-Committees
17.1 The Committee may from time to time appoint from among its number such other sub-committees as it deems necessary or expedient and may depute or refer to them such of its powers and duties as it may determine.
17.2 If any member ceases to be a member of the Committee he automatically ceases to be a member of any sub-Committee and another member of the Committee must be appointed in his place.
17.3 All sub-Committees must periodically report their proceedings to the Committee and must conduct their business in accordance with its directions.
18 Regulations
18.1 The Committee may from time to time make, repeal and amend any regulations (not inconsistent with these rules) as it thinks expedient for the management and well-being of the Association.
18.2 All regulations made by the Committee under this rule are binding on the members until repealed by the Committee or set aside by a resolution of a general meeting of the Association.
19 Annual General Meeting
The annual general meeting of the Association must be held in each year within 4 months of the previous year on a date and at a time to be fixed by the Committee and must:
19.1 receive from the Committee a report, balance sheet and statement of accounts for the preceding financial year;
19.2 elect the members of the Committee for the ensuing year;
19.3 appoint an auditor
19.4 decide on any resolution which may be submitted to the meeting in accordance with section 23 below;
19.5 fix the annual subscription of the Association if one is deemed necessary and
19.6 consider any other business as determined by the Committee.
20 Notice of business at annual general meeting
Any member who desires to move any resolution at the annual general meeting must give in writing to the secretary not later than 14 days prior to the annual general meeting.
21 Special general meeting
The Committee may call a special general meeting at any time for any special purpose, and must do so immediately upon a requisition in writing (stating the purposes for which the meeting is required) from any 12 members.
22 Convening general meetings
22.1 At least 28 days before the annual general meeting, or any special general meeting, notice of the meeting and the business to be transacted at it must be sent to every member.
22.2 No business other than that of which notice has been given may be brought forward at a general meeting.
23 Proceedings at general meetings
23.1 At all general meetings of the Association the chairman, or in his absence a member selected by the Committee, must take the chair.
23.2 Every ordinary member present is entitled to one vote upon every motion, and in case of an equality of votes the chairman may have a second or casting vote.
23.3 The Committee may, if it thinks fit, make regulations enabling members unable to be present to vote by proxy or in writing.
24 Quorum
The quorum at all general meetings is:
24.1 for motions proposing any repeal, addition to or amendment of the rules:10;
24.2 for repeal of any regulations 10;
24.3 for motions relating to the expulsion of any member: 10 and
24.4 for all other business: 6.
25 Amendments
25.1 No amendment (other than a motion for adjournment) may be moved to any resolution proposed at any annual or special general meeting unless written notice of the amendment has been sent to the secretary not less than seven days previous to the meeting or the meeting consents,
25.2 Whenever notice of any amendment to be proposed is given, it must be posted in the offices of the Association immediately.
26 Financial year
The financial year of the Association ends on 31st July in each year, and the accounts of the Association must be balanced to that day.
27 Audit of accounts
27.1 The accounts must be audited by a professional accountant as soon as practicable after the end of the financial year.
27.2 The auditor must be appointed at each annual general meeting and must not be a member of the Association.
28 Members not to make profit out of Association
No member may on any pretence or in any manner receive any profit, salary or emoluments from the funds or transactions of the Association, except for professional services rendered at the request of the Committee.
29 Association's name and address not to be used for business
No member may use or give the name or any address of the Association in any advertisement or for business purposes.
30 Members' addresses
Every member of the Association must from time to time communicate his address to the secretary, and all notices sent by first class post to that address are considered to have been given on the day following the date of posting.
31 Interpretation of rules
The Committee is the sole authority for the interpretation of these rules and the regulations made by it from time to time.
The decision of the Committee upon any question of interpretation or upon any matter affecting the Association and not provided for by these rules or by the regulations is final and binding on the members.
32 Amendment of rules
These rules may be added to, repealed or amended by a resolution passed at any annual or special general meeting by a majority of at least two-thirds of the members voting on it.
33 Dissolution of Association
If at any general meeting a resolution for the dissolution of the Association is passed by a majority of the members present and at a special general meeting held not less than six weeks later (of which not less than four weeks' written notice has been given to each member) and at which not less than 10 members are present that resolution is confirmed by a resolution passed by a majority of two-thirds of the members voting on it, the Committee must immediately, or at such future date as is specified in the resolution, proceed to realise the property of the Association and after the discharge of all liabilities must divide such property between charities to be nominated by the Committee, and on the completion of the division the Association will be dissolved.
